RUM Group Inc., formerly known as Rumble Inc., scored the $13.7 billion AI infrastructure agreement despite lacking the capital to afford the deal, Reuters reported Monday. The undisclosed customer will purchase AI computing power for six years while RUM Group builds a Maysville, Georgia, data center.

“[W]e will be required to develop, construct and operate a data center facility and acquire substantial quantities of GPUs and other related equipment and infrastructure,” RUM Group said in a Monday SEC filing that disclosed the deal. “We do not currently have financing to fund these expenditures, and our obligations under the Commercial Agreement are not subject to any financing condition or contingency.” (RELATED: Demystifying America’s Chips War With China)

“Accordingly, we will remain obligated to perform under the Commercial Agreement even if we are unable to obtain the necessary financing when needed on acceptable terms, or at all,” RUM Group clarified in the SEC filing.

The tech company’s customer will receive access to cloud GPU services at the Georgia data center site and the opportunity to buy roughly 51 million shares of RUM Group’s Class A stock at one cent per share, Reuters reported.

“RUM Group is excited to share that today, as reported in our Form 8-K the company entered into a GPU services agreement that has a total contract revenue value of $13.7 billion over a six-year term with respect to our data center location in Maysville, Georgia,” a RUM Group spokesman told the Daily Caller News Foundation. “This marks the largest deal in RUM Group’s history and demonstrates substantial demand for the AI infrastructure capacity we have developed as well as serving as a proof point to our long-term vision as an AI infrastructure and video company advancing our mission to maximize the power of human imagination.”

“I would say that [this deal] is consistent with other things that have happened in the history of Rumble, best exemplified by the relationship with Tether,” Tom Forte, managing director and senior consumer internet analyst at Maxim Group, told the DCNF.

Tether, a cryptocurrency company, is RUM’s largest shareholder and invested roughly $775 million into RUM, accordingto a Dec. 2024 Tether announcement.

“Tether’s investment in Rumble reflects our shared values of decentralization, independence, transparency, and the fundamental right to free expression,” Paolo Ardoino, CEO of Tether said, according to the announcement.

“I think [the deal] is a good illustration of two companies that have like-minded views trying to run an open internet and not have an internet that’s beholden to other large mega cap technology companies,” Forte told the DCNF.

Forte said the deal is unusual in its direction as a service provider typically takes a stake in its customer, as Amazon has with Anthropic and OpenAI. In this case, however, the customer is taking the stake in RUM.

“I would say that … in order for the company to advance its AI infrastructure efforts … it seems to be more capital intensive, which is very consistent with what we’re seeing from Amazon,” Forte told the DCNF.

“But a $13.7B contract is not the same as $13.7B of funded, profitable revenue,” one X post analyzing the deal read. “The real investment thesis now comes down to three things: Financing. Execution. Dilution.”

Another X post poked fun at the reported terms of the deal, specifically the fact that the company lacked the infrastructure and capital required for the deal it just made.

“[W]e genuinely care about making a positive impact, and we will work hard to remain responsive to local concerns,” RUM said on the Maysville data center project ‘About’ page. The tech company addressed concerns about water and electricity usage as well as potential noise issues, saying its facility would not affect the community’s water, electricity or noise level.

RUM said it is committed to transparency and “partnering” with the community of Maysville, Georgia, and the company intends to bring in jobs and tax revenue, according to the Maysville project ‘About’ page.

“Building and running this facility is expected to bring dozens of construction jobs while it is built, and skilled permanent jobs once it is open, along with new local tax revenue that supports Maysville for years to come,” RUM Group said on the ‘About’ page.
